Terms and Conditions

1. Scope of services

These Terms and Conditions describe how NovaPulse Mobile Studio provides mobile app development, UX/UI optimization, app migration services, API integration, and related consulting. A detailed Statement of Work (“SOW”) will define project scope, deliverables, sprints, and acceptance criteria.

2. Engagement process

After discovery we will issue an SOW with project timeline, Agile sprint cadence, and payment schedule. Work begins upon written approval and initial payment (if applicable).

3. Client responsibilities

• Provide accurate requirements, stakeholders, and access to existing systems.
• Review sprint demos within two business days to keep the app development lifecycle on track.
• Ensure that supplied assets do not violate third-party rights.

4. Fees and payments

Fees are outlined in the SOW. Unless otherwise stated, invoices are due within 14 days. Late payments may pause work or incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Intellectual property

Upon full payment, ownership of bespoke code, custom app design, and UX artifacts transfers to the client. The Company retains the right to reuse pre-existing frameworks, style guides, and know-how developed prior to the engagement.

6. Confidentiality

Both parties agree to protect confidential information, including prototype development assets, API credentials, and cloud-based application secrets. Confidentiality survives termination.

7. Warranties

We warrant that deliverables will materially conform to the SOW for 30 days following acceptance. Your exclusive remedy is for us to correct any non-conformity.

8. Liability

Neither party is liable for indirect, incidental, or consequential damages. Aggregate liability is limited to amounts paid under the relevant SOW.

9. Termination

Either party may terminate with 14 days’ notice if the other materially breaches the agreement and fails to remedy within that period. Termination invoices will include work performed up to the effective date.

10. Governing law

These Terms are governed by the laws of England and Wales. The courts of London shall have exclusive jurisdiction.
